By accessing or using Hoov.ai (the "Service"), a service provided by Hoov.ai ("we," "us," or "our"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to all of these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Hoov.ai.

Hoov.ai provides an online platform for resume building and optimization. Key features include:

• Resume ingestion (e.g., uploading existing resume files).
• AI-powered resume content optimization and suggestions.
• Tools for previewing and editing your resume.
• Options to download your finalized resume (e.g., as a PDF) or have it emailed to you.

We reserve the right to modify, suspend, or discontinue the Service (or any part or content thereof) at any time with or without notice.

User Accounts & Responsibilities

To access certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during the registration process and update such information to keep it accurate, current, and complete.
• Maintain the security of your account password and accept all risks of unauthorized access to your account.
• Notify us immediately if you discover or otherwise suspect any security breaches related to the Service or your account.
• Be solely responsible for all content you upload, submit, or otherwise transmit via the Service, including the accuracy and legality of such content.

Subscription & Payments

Certain features or usage tiers of the Service may require payment of fees.

Intellectual Property

• User-Provided Content: You retain all ownership rights to the content (e.g., resume information) you submit to the Service. By submitting content, you grant Hoov.ai a worldwide, non-exclusive, royalty-free license to use, reproduce, modify (for purposes of optimization and formatting for the Service), and display such content solely for the purpose of providing and improving the Service to you.
• Hoov.ai Platform: The Service, including its underlying technology, software, design, text, graphics, logos, and other materials provided by Hoov.ai, are the property of Hoov.ai or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have our written permission.

Prohibited Conduct

You agree not to use the Service to:

• Upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

Disclaimer of Warranties & Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. HOOV.AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HOOV.AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, FOR USE OF THE SERVICE IN THE SIX (6) MONTHS PRIOR TO THE CLAIM ARISING.

Termination

We may terminate or suspend your access to all or part of the Service at any time, with or without cause, with or without notice, effective immediately.

You may terminate your account and these Terms by discontinuing your use of the Service. If you have a subscription, termination will be subject to the cancellation terms outlined in the "Subscription & Payments" section.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within Texas for the resolution of any disputes arising out of or relating to these Terms or the Service.

Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, such as by posting on our website or sending you an email. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
